Richtech Robotics files restated FY2025 accounts and amended quarterly report, completing the June restatement
On 7 August 2026 Richtech Robotics filed Amendment No. 1 to its Annual Report on Form 10-K and Amendment No. 1 to a Quarterly Report on Form 10-Q, together with a further Form 10-Q, giving effect to the restatement its Audit Committee determined on 9 June 2026. The restatement corrects the accounting for warrant liabilities issued in FY2025 and FY2024, for the Standby Equity Purchase Agreement with YA II PN, Ltd. dated 15 February 2024, and for certain restricted stock awards issued in December 2025. Filing the restated accounts is the precondition for clearing the Nasdaq late-filing deficiency under Listing Rule 5250(c)(1).
